Terms of Service

Quick summary: Aerenium is a local desktop tool. You control your data. We offer subscriptions and token accounts. You have 14 days to request a refund on subscriptions. Credits are consumed goods and are only refundable if unused. Token accounts are anonymous and cannot be recovered if lost.

1. Acceptance of Terms

By downloading, installing, accessing, or using Aerenium, you agree to these Terms of Service. If you do not agree, do not use the Software.

You confirm that you are at least 13 years of age and have the legal capacity to enter into this agreement.

2. Description of Service

Aerenium is a local-first desktop application that integrates large language models, vision, speech, desktop automation, and memory. The Software runs primarily on your own device. Your conversations, memory cells, and settings are stored locally and are not accessible to us unless you explicitly choose to share them.

When you use LLM features, your prompts are transmitted to third-party AI providers (e.g., OpenRouter). These providers operate under their own terms and privacy policies. We do not control, moderate, or log their outputs.

3. Account Types

We offer two ways to use paid features:

  • Account-based: Requires email and password. Your subscription is tied to your account and is recoverable. You can manage subscriptions, view billing history, and reset your password.
  • Token account: Anonymous. No login required. Your subscription is tied to a randomly generated token (e.g., a1b2c3d4e5f67890). Token accounts are shareable and not recoverable. If you lose your token, it is gone forever. We cannot restore it.

You may convert a token account to an account-based subscription at any time via the Bind feature on your account page.

4. Subscriptions & Billing

Subscriptions are billed through Stripe. We accept cards, Apple Pay, Google Pay, and other methods Stripe supports.

  • Monthly plans renew every 30 days unless cancelled.
  • Yearly plans renew every 365 days unless cancelled.
  • Enterprise pricing is custom and negotiated separately.

You may cancel anytime from your account page or by contacting support. Cancellation stops future billing. You retain access until the end of your current billing period.

5. Token Subscription Extension

Token subscriptions work like Mullvad — they are time-based, not device-based. If you purchase a new subscription with an existing token that already has an active subscription of the same tier, the new time is added to your existing expiry. For example, if you have 15 days left and buy another month, you now have 45 days.

If you purchase a different tier on the same token, this is treated as an upgrade and creates a separate subscription stack.

6. Refund Policy

6.1 Subscription Refunds

You may request a full refund within 14 days of your initial subscription purchase. Refunds are processed through Stripe and typically appear within 5–10 business days.

  • Refunds apply to the most recent payment only.
  • After 14 days, subscriptions are non-refundable except where required by law.
  • If you have used a significant portion of your monthly credit allowance, we reserve the right to issue a partial refund.

6.2 Credit Pack Refunds

Credit packs are consumed digital goods. They are only refundable if:

  • The request is made within 14 days of purchase, AND
  • The credits have not been used (purchased_remaining equals the original amount).

If any credits have been consumed, the credit pack is non-refundable.

6.3 How to Request a Refund

Email support@aerethis.com with your subscription ID or token. Account-based users can also request refunds from their account dashboard.

7. Credit Economy

Credits are the internal currency used for LLM proxy requests. Credit costs vary by model:

  • Economy models (e.g., GPT-4o-mini): 1× base rate
  • Standard models (e.g., GPT-4o, Claude 3.5 Sonnet): 3× base rate
  • Premium models (e.g., GPT-4, Claude 3 Opus, o1): 10× base rate

Subscription tiers include a monthly credit allowance that resets at the start of each billing period. Unused monthly credits do not roll over. Purchased credits never expire for active accounts.

8. Token Lifecycle & Cleanup

To maintain system health, we periodically clean up inactive token accounts:

  • 90 days: Token accounts with no active subscription and zero credit balance are deleted.
  • 10 years: Purchased credits on inactive token accounts (no active subscription or expired >10 years) are reclaimed.

Account-based subscriptions and their credits are never deleted due to inactivity.

9. User Responsibility

You assume full responsibility for:

  • All actions you direct the Software to perform, including desktop automation, file operations, and shell commands.
  • All content you create or distribute using the Software.
  • Any damage to your system, data, or third-party systems resulting from your use.
  • Compliance with all applicable laws in your jurisdiction.
  • Safeguarding your token. If lost, it cannot be recovered.

10. AI Output Disclaimer

AI-generated content may be inaccurate, incomplete, or inappropriate. You are solely responsible for reviewing, validating, and deciding whether to use any output. We disclaim all liability for AI-generated content or actions taken based on it.

11. License & Intellectual Property

The Software is licensed, not sold. Your rights are defined by your specific license tier. You may not reverse engineer, decompile, or create derivative works without authorization.

12. Termination

We may suspend or terminate your access for violations of these Terms. You may terminate by uninstalling the Software and cancelling any subscriptions. Token accounts automatically expire when the subscription period ends.

13. Limitation of Liability

To the maximum extent permitted by law, Aerethis shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Software. Our total liability shall not exceed the amount you paid in the 12 months preceding the claim.

14. Changes to Terms

We may update these Terms at any time. Continued use after changes constitutes acceptance. Material changes will be notified via email or in-app notice.
